The competitive edge is shifting from the ability to find lenders to the ability to design and negotiate sustainable capital stacks.

The article

Executive View — The European mid-cap real estate financing market continues to evolve towards greater diversification of capital sources. Banks, debt funds and private credit players are expanding the solutions available for acquisitions, developments, conversions and refinancings. However, capital availability remains strongly dependent on asset quality, sponsor strength and transaction structure.

Our reading: the competitive edge is shifting from the simple ability to identify lenders to the ability to design and negotiate sustainable capital stacks.

1. Key Market Signals — HSAM Europe has announced an expansion plan for European real estate lending, with indicative tickets of €10–120 million, leverage up to 75% LTV and maturities of one to five years. Advertised pricing starts at 6% all-in. These terms are commercial indications, not binding offers.

Spain — A new study by PwC España, TQ Eurocredit and Cuatrecasas estimates an alternative lending market of €3.89 billion in 2026, with an average rate of 10%, average LTV of 55% and average maturity of 28 months. The benchmark covers real estate-secured alternative lending and cannot be automatically applied to preferred equity.

Italy — A Bayview / Finint senior facility of up to €34 million for a logistics complex in Verona highlights interest in transactions combining refinancing and completion finance. The deal was first announced on 7 October; further details emerged later.

2. Capital Provider Watchlist — HSAM Europe (senior, bridge, refinancing: mid-cap tickets and flexible structures); Bayview / Finint (senior secured, completion: Italian deals €20–40m); Maslow Capital (development, conversion: financing of complex projects); Banor (senior real estate debt: stated €10–40m tickets); Yeldo (senior, bridge, mezzanine: Italy and Spain). Inclusion in the watchlist does not imply confirmed availability to finance any specific transaction.

3. Where We See Opportunities — Italy, residential conversion and living: opportunities in transactions with defined permits, qualified sponsors and funding needs requiring the integration of senior debt and structured capital. Italy, hospitality and logistics: potential financing for acquisition, repositioning, completion and refinancing, especially where commercial risk mitigants exist. Spain, residential development: potential interest in bridge financing and bridge-to-bank structures, with attention to the overall cost of capital and refinancing feasibility. Europe, refinancing and recapitalisation: potential opportunities in transactions where existing debt exceeds available senior refinancing capacity.

4. Capital Gaps & Risks — The main areas of attention are: the gap between total funding needs and available senior debt; the high cost of bridge and subordinated capital; refinancing risk at maturity; budget overruns and the need for completion capital; subordination, governance and investor rights in mezzanine and preferred equity structures. Subordinated capital must be remunerated consistently with its actual risk position and accompanied by adequate contractual protections.

5. BLCP Perspective — For Blue Lake Capital Partners, the market evolution reinforces the importance of an integrated approach to real estate financing. Combining underwriting, debt arrangement, structured capital and investment management allows different solutions to be assessed according to the characteristics of each transaction.

The priority is not to maximise leverage, but to build a capital structure that allows the business plan to be delivered while adequately protecting investors' interests.

6. Next Steps — For the coming period, the areas of focus are: qualifying the actual financing terms of the main mid-cap lenders; analysing bridge-to-bank and refinancing opportunities; monitoring mezzanine and preferred equity pricing through verifiable transactions and term sheets.
